ftp-gw from the TIS FW toolkit with ip-filter patches or any of it's
derivates is one FTP proxy capable of operating as a transparent proxy.
It doesn't however provide any caching.

I don't know of any freeware FTP proxy which provides caching. Caching
in the FTP protocol is non-trivial due to the complexity and
statefullness of the FTP protocol.
