Squid Slowing Down

i have a proxy that is running in transparent mode. it averages a minimum of around 250requests/minute normally averaging around 400+ requests per minute. After about 1.5hrs of running it just stops accepting connections and times out, i am getting NO error messages in the access.log file or any of the swap files.
It appears that when i do a netstat -a i have thousands and thousands of active connections with FIN_WAIT1. I am using Squid 2.2-stable 5, and it seems that its not closing active connections, is this possible?
i have these parameters in the startup file.

echo 32768 > /proc/sys/fs/file-max
echo 65536 > /proc/sys/fs/inode-max
echo 1024 65535 > /proc/sys/net/ipv4/ip_local_port_range
ulimit -HSn 16384
and the FD limit is set to 16384 also.

What could affect this in the squid configuration file, or what could cause these sorts of strange things to happen, any sorts of help would be much appreciated.
